Allion Legal advises Galaxy Resources on unique merger with Canada’s Lithium One. Allion Legal’s Corporate and Resources team are advising Galaxy Resources Limited on its $500M merger with Canada’s Lithium One Inc, to be effected via a plan of arrangement in Canada. The deal was announced on 30 March 2012. Principals Philip Lucas and Stuart Mengler are leading the Allion team advising Galaxy, which includes Associates Lucas Vosch and Chris Rosario and a number of lawyers across Allion’s corporate and resources division. The arrangement agreement implementing the deal needed to address a number of corporate and regulatory issues that arise in the context of merger between an Australian listed and a Canadian listed entity.

Allion Legal acts for Western Areas on strategic purchase of Kagara's Lounge Lizard Nickel Project. Principal Craig Readhead and Associate Jo Steer acted for nickel sulphide explorer and producer Western Areas on the acquisition by Western Areas of Kagara’s Lounge Lizard nickel project, for a consideration of A$ 68m. The Lounge Lizard deposit is located adjacent to Western Areas’ 100% owned Flying Fox nickel mine at the Forrestania nickel project. Western Areas currently mines, mills and sells the Lounge Lizard nickel concentrate utilising the existing Flying Fox infrastructure under a project agreement with Kagara.

Principal, Simon Rear and Associate, Lucas Vosch have advised Taruga Gold Limited, a West African gold explorer, on its initial public offering and ASX listing. Funds raised in the float will be used by Taruga to implement its gold exploration program across Niger, Ghana and Cote D’Ivoire.

Allion acts for Phillips River Mining on its merger with Silverlake Resources. Principal, Simon Rear and Associate Chris Rosario have advised Phillips River Mining Limited on its Merger Implementation Agreement with Silver Lake Resources to effect the merger of Phillips River Mining’s assets into Silver Lake Resources. Acquiring Phillips River Mining’s assets will allow Silver Lake to further grow its gold business and development of the Murchison. The acquisition has a transaction value of approximately $20 million. The merger will be implemented as a Scheme of Arrangement under the Corporations Act.

- Allion Legal acted for Njamal People on joint venture with Fortescue Metals Group. Stuart Mengler and Jo Steer advised Yamatji Marlpa Aboriginal Corporation and the Njamal People on a unique joint venture and ore supply arrangement between the Njamal People and Fortescue Metals Group, as announced by Fortescue on 23 December 2011. Under the arrangement, FMG and the Njamal People will establish, co-own and operate a magnetite mine in the Pilbara. Stuart Leonard assisted on tax aspects and Murray Colvin assisted on finance aspects.

Michael Swift advised Jandakot Airport on the commercial property aspects of the transaction between Jandakot Airport and GE for what will be the biggest complex of its kind in Australia for providing support and maintenance for subsea equipment used in the oil and gas industry.

Perilya's largest shareholder Zhongjin Lingnan Mining (HK) Company Limited ("Zhongjin") has agreed to subscribe for its full entitlement under the issue representing 52% of the shares to be offered through the transaction.

Kathy Reid represents Racing and Wagering WA in its application to Fair Work Australia regarding the payment of penalty rates under the State Government Agencies Administration Award 2010. In the first official ruling on this issue, Fair Work Australia found for RWWA when it held that penalty rates and allowances do not apply cumulatively.

The negotiations took three years to complete with contracts signed in March 2011.
